Dish TV reappoints Jawahar Goel as MD
MUMBAI: Direct to home (DTH) Dish TV, which has been in the news for its purported merger deal with Airtel’s DTH arm, has reappointed Jawahar Goel as the managing director (MD) of the company.
“This is to inform you that upon the recommendation of the Nomination and Remuneration Committee of the Board, the Board of Directors of the Company at their meeting held today, i.e. December 12, 2019, have inter-alia considered and approved the re-appointment of Mr. Jawahar Lal Goel (DIN: 00076462) as the Managing Director of the Company as per the applicable provisions of Companies Act, 2013 and SEBI regulations,” Dish TV said in a regulatory filing.
The provisions of SEBI notification dated 9th May 2018, requires the top 500 listed entities to ensure that the chairperson of the company is a non-executive Director and is not related to the Managing Director/CEO, with effect from 1st April 2020.
The Dish TV board was inclined to re-appoint Goel for a longer-term, however, in view of the SEBI notification, the board has approved the re-appointment of Goel as Managing Director for the period from 17th December, 2019, to 31st March, 2020 (both days inclusive), i.e., the date till which he can continue to assume the position of Chairman and Managing Director in terms of the applicable regulatory provisions.
The re-appointment is subject to the approval of shareholders of the company, in terms of applicable provisions.
The company stated that Jawahar Goel is not related to any Director of the Company. He is also the chairman of the board and shall continue to be the Chariman of the Board of the Director’s post expiry of his tenure as the Managing Director.
